H/DNA Terms of Use & License

Effective October 4, 2026 · Version HDNA_TERMS_2026_10_04_V3

These Terms govern access to and use of H/DNA. By creating or using an H/DNA account, accepting an applicable order, purchasing or activating H/DNA, or using a company-assigned seat, you agree to these Terms and any applicable order terms.

Service and license

H/DNA is an Executive Intelligence System combining software controls, data, connected resources, probabilistic analysis, and AI-assisted intelligence. Subject to these Terms and an active entitlement, you receive a limited, non-exclusive, non-transferable, revocable right to use the applicable H/DNA product for its intended purpose. H/DNA and all associated intellectual property remain owned by their respective owner or owners.

User decision responsibility; assumption of risk

YOU ARE THE FINAL DECISION-MAKER. H/DNA provides information, analysis, scenarios, estimates, recommendations, alerts, forecasts, decision support, and other outputs for your consideration. You retain sole responsibility for evaluating those outputs and for every decision, action, omission, authorization, transaction, communication, commitment, or other step you or anyone acting under your authority takes or does not take in connection with H/DNA. To the fullest extent permitted by applicable law, you assume the risks and consequences of using or relying on H/DNA outputs.

H/DNA does not take responsibility for actions or omissions taken by a user or third party as a result of, in reliance on, or in connection with H/DNA. No output transfers decision authority, fiduciary responsibility, professional responsibility, legal responsibility, management responsibility, or compliance responsibility from you or your organization to H/DNA or its owner, operator, personnel, licensors, suppliers, or service providers.

Accuracy, data, AI and third-party limitations

H/DNA is designed to be highly capable and useful, but no human or computational decision system is infallible. Outputs may occasionally be incomplete, inaccurate, outdated, uncertain, probabilistic, misleading, unavailable, or wrong. Results can be affected by incomplete or erroneous user-provided information; source-data quality or freshness; third-party content, services, models, APIs, or connected resources; probabilistic inference; model limitations; changing conditions; software defects; interruptions; and assumptions made when complete information is unavailable.

Estimates, ROI analyses, probabilities, scenarios, projections, forecasts, and opportunity or risk assessments are not guarantees. They depend on assumptions and available information and may differ materially from actual outcomes.

Independent verification and professional judgment

You are responsible for independently verifying material facts and exercising appropriate human judgment before consequential action. Where a matter involves law, medicine, accounting, taxation, investing, regulated activity, safety, employment, compliance, or another field requiring licensed or specialized professional judgment, H/DNA is not a substitute for advice from an appropriately qualified professional. H/DNA does not create an attorney-client, physician-patient, fiduciary, investment-adviser, accountant-client, or similar professional relationship.

Accounts and authorized access

You are responsible for authorized use of your account, for protecting authentication methods, for information and permissions you provide, and for ensuring that your use of H/DNA and connected resources is lawful and appropriately authorized. Product and organization features depend on active entitlement, permissions, and applicable seat or organization status.

Purchases and offer terms

Prices and commercial terms are those presented by current authorized H/DNA commercial authority at checkout or in applicable order terms. Applicable taxes may be added. For H/DNA 1.0, the current one-time purchase includes the H/DNA-managed AI connection; no customer AI API key or separate AI API subscription is required for ordinary H/DNA 1.0 use. Any optional third-party service or integration charges outside the included H/DNA-managed connection will be disclosed before activation or use. By completing checkout after accepting these Terms, you acknowledge the user-decision-responsibility, assumption-of-risk, warranty-disclaimer, and limitation-of-liability provisions in these Terms.

No guaranteed outcomes

H/DNA does not guarantee business, employment, career, financial, investment, legal, tax, medical, operational, safety, relationship, productivity, revenue, savings, risk-reduction, or other outcomes. Past performance, modeled performance, projected value, and estimated ROI do not guarantee future results.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, H/DNA IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, H/DNA AND ITS OWNER, OPERATOR, AFFILIATES, PERSONNEL, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST OPPORTUNITIES, LOSS OF EMPLOYMENT OR BUSINESS EXPECTANCY, BUSINESS INTERRUPTION, LOSS OF DATA, REPUTATIONAL HARM, OR OTHER CONSEQUENTIAL LOSS ARISING OUT OF OR RELATING TO H/DNA, ITS OUTPUTS, OR DECISIONS, ACTIONS, OR OMISSIONS BASED ON OR CONNECTED TO H/DNA, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF H/DNA AND ITS OWNER, OPERATOR, AFFILIATES, PERSONNEL, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CLAIMANT FOR THE AFFECTED H/DNA SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless H/DNA and its owner, operator, affiliates, personnel, licensors, suppliers, and service providers from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising from your unlawful or unauthorized use of H/DNA, your violation of these Terms or third-party rights, information or instructions you provide, or actions taken by you or persons acting under your authority.

Acceptable use

Do not attempt to bypass H/DNA access controls, unlawfully access another person’s or organization’s information, interfere with service integrity, introduce malicious code, use H/DNA to violate law or third-party rights, or misrepresent H/DNA outputs as guaranteed facts when they are estimates, projections, or probabilistic analyses.

Intellectual property

H/DNA, Systrophe, Systrophe Strand∞ Technology, associated software, architectures, designs, marks, content, prompts, methods, systems, and proprietary technology remain the property of their respective owner or owners except where expressly stated otherwise.

Governing law and venue

To the fullest extent permitted by applicable law, these Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles, and any court proceeding not subject to another binding dispute process must be brought in a court of competent jurisdiction located in Davidson County, Tennessee, or the applicable federal court serving that location. Mandatory rights that cannot lawfully be waived remain unaffected.

Severability and survival

If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Provisions concerning intellectual property, user responsibility, assumption of risk, warranty disclaimers, limitation of liability, indemnification, and governing law survive termination or expiration as applicable.
